Terms of Service

These Terms of Service (the “Terms”) govern access to and use of AutoPost (the “Service”), an internal content scheduling and analytics application operated by Hughes IT, LLC (“Hughes IT,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Nature of the Service

The Service is a private, internal tool. It is made available only to Hughes IT and to personnel it authorizes, for the purpose of publishing Hughes IT's own video content to Hughes IT's own social media accounts and reviewing the performance of that content. The Service is not offered to the general public, has no public registration, and is not sold or licensed to third parties.

2. Eligibility and authorized use

You may use the Service only if you have been granted access by Hughes IT and you are at least 18 years old. You are responsible for keeping your credentials confidential and for all activity that occurs under your access. Notify us promptly at blake@hughesit.us if you believe your access has been compromised.

3. Connected social media accounts

The Service connects to third-party platforms, including TikTok, using those platforms' official APIs and their standard authorization flows. By connecting an account you represent that:

• you own the account or are authorized by its owner to connect it;
• you have the rights necessary to publish the content you submit; and
• your use of the connected account complies with that platform's own terms, policies, and community guidelines.

Authorization is granted through the platform's consent screen and may be revoked at any time from the platform's own app-permission settings. Revoking authorization immediately ends the Service's ability to read from or publish to that account.

4. Your content

You retain all ownership of the videos, captions, and other material you submit through the Service (“Content”). You grant Hughes IT a limited, non-exclusive license to store, process, and transmit your Content solely to operate the Service on your behalf — that is, to schedule and publish it to the accounts you have connected. We do not use your Content for advertising, resale, or model training.

5. Acceptable use

You agree not to use the Service to:

• publish content that is unlawful, infringing, defamatory, harassing, or otherwise violates the rules of a connected platform;
• publish content you do not have the rights to distribute;
• impersonate any person or entity, or misrepresent an affiliation;
• circumvent rate limits, access controls, or other technical restrictions imposed by us or by a connected platform;
• attempt to gain unauthorized access to the Service or its underlying infrastructure; or
• interfere with or disrupt the integrity or performance of the Service.

6. Third-party platforms

The Service depends on third-party APIs that we do not control. Platform availability, rate limits, feature sets, and policies may change or be withdrawn at any time, and those changes may interrupt or limit the Service. Your use of any connected platform remains governed by that platform's own terms and privacy policy, in addition to these Terms. Hughes IT is not responsible for the acts or omissions of any third-party platform.

7. Availability and changes

The Service is provided on an as-available basis. We may modify, suspend, or discontinue any part of it at any time, with or without notice. We may also update these Terms; material changes will be reflected by a revised “Last updated” date on this page, and continued use of the Service after that date constitutes acceptance of the revised Terms.

8. Suspension and termination

We may suspend or terminate access to the Service at any time, including for conduct that violates these Terms or that we reasonably believe exposes Hughes IT or a connected platform to liability. You may stop using the Service at any time by disconnecting your accounts and requesting deletion of your data as described in the Privacy Policy.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SCHEDULED POST WILL BE PUBLISHED AT A PARTICULAR TIME OR AT ALL.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUGHES IT, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR REACH, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

11. Indemnification

You agree to indemnify and hold harmless Hughes IT, LLC and its officers, members, and personnel from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your Content, your use of the Service, or your violation of these Terms or of any third-party platform's terms.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to its conflict-of-law rules. The state and federal courts located in Kentucky shall have exclusive jurisdiction over any dispute arising out of these Terms.
